1. Operator and scope
SocialStudio is a product operated by Chaello Marketing Agency (“Chaello,” “SocialStudio,” “we,” “us,” or “our”). These Terms apply to the SocialStudio website, dashboard, application programming interfaces, publishing tools, integrations, and related support services (collectively, the “Service”).
The Service is a software tool. It is not a social network and is not affiliated with, endorsed by, or responsible for Meta, Instagram, Facebook, LinkedIn, X, TikTok, Google, YouTube, Pinterest, or any other third-party platform.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering a binding contract. You must provide accurate information, keep account details current, protect your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity performed through your account and by users you authorize.
You may not share credentials outside your authorized team, create accounts using false identities, or use another person's or organization's social accounts without permission.
3. The Service
SocialStudio enables users to draft content, create platform-specific variants, upload media, connect supported social accounts, schedule posts, and request publication through official third-party interfaces. Features may differ by platform, account type, geography, developer approval, subscription status, or third-party technical restrictions.
Policy checks and recommendations are assistance tools, not guarantees. You must review every post before publication and remain responsible for accuracy, legality, permissions, disclosures, and compliance.
4. Social-platform connections
Social accounts are connected through authorization systems provided by the relevant platform. You authorize SocialStudio to access and use approved account permissions solely to provide requested features. You can disconnect an account from the dashboard, which removes stored authorization credentials and may request revocation from the platform.
Your use of a connected platform remains subject to that platform's terms, policies, API rules, content standards, rate limits, and enforcement decisions. Platforms may reject, delay, remove, restrict, or modify posts and API access. SocialStudio is not liable for a platform's action, outage, policy change, account suspension, or withdrawal of API access.
5. Customer content and permissions
You retain ownership of text, images, videos, trademarks, account information, and other materials you submit (“Customer Content”). You grant us a worldwide, non-exclusive, limited license to host, copy, process, adapt for technical formatting, transmit, and publish Customer Content only as necessary to operate, secure, and support the Service.
You represent and warrant that:
- you own Customer Content or have all required rights, releases, and licenses;
- the content and requested publication do not violate law or third-party rights;
- advertising, sponsorship, contest, health, financial, and other required disclosures are included;
- personal data in the content was collected and provided lawfully; and
- you have authority to publish through each connected account.
6. AI-assisted features
SocialStudio may use artificial intelligence to suggest captions, hashtags, formatting, or variations. AI output can be incomplete, inaccurate, unsuitable, repetitive, or similar to content generated for others. Output is a draft, not professional, legal, medical, financial, or regulatory advice.
You must review and approve output before use. You are responsible for factual verification, intellectual-property checks, industry disclosures, tone, and final publication. Do not submit highly sensitive personal information or confidential information unless necessary and lawfully permitted.
7. Acceptable use
You must not use the Service to:
- publish unlawful, fraudulent, deceptive, defamatory, infringing, abusive, or harmful material;
- send spam, conduct coordinated manipulation, purchase fake engagement, or evade platform limits;
- impersonate others or misrepresent affiliation, origin, endorsement, or commercial intent;
- distribute malware, malicious links, credential-harvesting material, or unauthorized surveillance;
- interfere with security, probe vulnerabilities, reverse engineer protected components, or bypass controls;
- resell or provide the Service to third parties unless we expressly authorize it; or
- use the Service in a way that creates unreasonable operational, legal, or security risk.
We may investigate suspected abuse, limit activity, remove content from our systems, suspend publishing, cooperate with lawful authorities, or terminate accounts when reasonably necessary.
8. Subscription, renewal, and payment
The launch subscription is USD $19 per month unless a different price is displayed at checkout. Taxes may apply. Subscriptions renew automatically each billing period until cancelled. Payments are processed by our payment provider; we do not store complete payment-card numbers.
Paddle acts as Merchant of Record for SocialStudio purchases. Paddle processes the sale, payment, applicable transaction taxes, invoices, and payment-related customer service under Paddle's checkout and buyer terms. If Paddle's mandatory buyer terms conflict with these Terms on a payment-processing matter, Paddle's applicable terms control for that matter.
You authorize recurring charges to your selected payment method. You may cancel before renewal through available account or billing controls. Cancellation stops future renewal and ordinarily takes effect at the end of the paid period.
Except where required by applicable law or expressly stated at purchase, fees are non-refundable and partial periods are not prorated. Failed payment may result in restricted publishing, suspension, or cancellation. We will provide advance notice of material price changes where required.

9. Unlimited posting and fair use
“Unlimited” means no fixed post-count charge for ordinary, legitimate small-business use. It does not permit automated spam, bulk account farming, platform abuse, resale, excessive machine-generated traffic, or activity that threatens service stability or violates third-party limits.
We may apply reasonable rate limits or contact you about unusually high activity. Where practicable, we will seek a reasonable solution before restricting a legitimate customer.
10. Availability, maintenance, and changes
We aim to provide reliable service but do not guarantee uninterrupted operation, immediate publishing, or continued support for every platform. Maintenance, internet failures, provider outages, review requirements, API quotas, content processing, and events beyond our control can delay or prevent publication.
We may add, modify, replace, or discontinue features to improve security, performance, compliance, or commercial viability. We will provide reasonable notice of material adverse changes when practicable.
11. SocialStudio intellectual property
The Service, software, interface, branding, documentation, workflows, and related intellectual property belong to Chaello or its licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your active subscription for internal business purposes.
Feedback may be used to improve the Service without restriction or compensation, provided we do not publicly identify you without permission.
12. Suspension, cancellation, and termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate access for material breach, non-payment, fraud, security threats, legal requirements, platform-policy violations, or activity that could harm users, third parties, or the Service.
On termination, your right to use the Service ends. Provisions concerning payment obligations, ownership, disclaimers, liability, indemnity, governing law, and provisions intended by nature to survive will remain effective. Data handling after termination is described in the Privacy Policy.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that a post will publish, remain published, achieve engagement, comply with every industry rule, or be accepted by a third-party platform.
Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, or for lost profits, revenue, goodwill, business opportunity, or data, arising from the Service, even if advised of the possibility.
To the maximum extent permitted by law, Chaello's aggregate liability arising from or related to the Service will not exceed the greater of USD $100 or the fees you paid for SocialStudio during the six months immediately preceding the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Chaello and its personnel from third-party claims, damages, and reasonable costs arising from Customer Content, your connected accounts, your breach of these Terms, infringement of third-party rights, or unlawful use of the Service.
16. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Subject to mandatory consumer rights and any jurisdiction that cannot lawfully be waived, disputes will be submitted to the competent courts of Dubai, United Arab Emirates.
Before filing a formal claim, each party agrees to make a good-faith attempt to resolve the dispute by written notice and at least 30 days of discussion.
17. General terms
These Terms, the Privacy Policy, and any order or checkout terms form the agreement between you and Chaello regarding SocialStudio. If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign the agreement without our consent; we may assign it as part of a merger, restructuring, asset transfer, or by operation of law.
We may update these Terms. Material changes will be posted with a revised effective date and, where appropriate, communicated through the Service or email. Continued use after the effective date means you accept the updated Terms.
